NAME AND PURPOSE
The Association, a non-profit organization located in Kathmandu, Nepal, shall be known as the Lincoln School Association. The Association, through an elected School Board, shall operate a non-sectarian school henceforth called Lincoln School.
GOALS
The goals of Lincoln School shall be:
a. to attain excellence in academic standards, incorporating U.S. educational curriculum;
b. to establish and implement a curriculum consistent with the academic, social and physical abilities and needs of the students;
c. English shall be the language of instruction;
d. the curriculum shall include elements of the history, culture, and traditions of Nepal;
e. foreign language instruction will be provided.
MEMBERSHIP
Membership in the Association shall include the following categories:
a. Parents or legal guardians of each child regularly enrolled in the school including the kindergarten;
b. Director, Assistant Director, and teachers of Lincoln School, including the kindergarten;
c. Interested persons who wish to become members of the Association. These persons may become members on written application to the Chairman of the School Board, and with the approval of the Board.

MEETING OF THE ASSOCIATION
a. There shall be regular meetings of the Association each year in accordance with the By-Laws.
b. Special meetings of the Association may be held at the call of the School Board or upon written request of one-fourth of the members of the Association.
c. One-fourth of the membership shall constitute a quorum except as specified in the By-Laws.
VOTING BY MEMBERS OF THE ASSOCIATION
a. Each member of the Association shall be entitled to one vote.
b. The Association shall elect the voting members of the School Board in accordance with the By-Laws.
c. This Constitution shall become effective on the affirmative vote of a majority of the members of the Association.
d. Amendments to this Constitution shall become effective by an affirmative two-thirds majority of the votes cast. Proposed amendments to the Constitution shall be submitted in writing to the members of the Association at least two weeks but not more than four weeks prior to the meeting at which they are to be considered. Proposed amendments shall not be amended or withdrawn once they have been submitted to the members of the Association except by an affirmative vote of the majority of those members present and voting.
e. The By-Laws of the Association shall become effective by an affirmative majority of the votes cast.
f. Amendments to the By-Laws shall become effective by an affirmative majority of the votes cast. Proposed amendments of the By-Laws shall be submitted in writing to the members of the Association at least two weeks but not more than four weeks prior to the meeting at which they are to be considered. Proposed amendments shall not be amended or withdrawn once they have been submitted to the members of the Association except by an affirmative vote of the majority of those members present and voting.
g. All other business shall be decided by the majority vote of the members present and voting.
h. Absentee and mail voting is permitted in accordance with the By-Laws.
SCHOOL BOARD
a. The School Board shall be composed of not more than nine or fewer than five elected members of the Association and the ex-officio members described below. A majority of the voting members of the School Board shall be U.S. Citizens. The number of members, their terms, and the process of election shall be as prescribed in the By-Laws. The Director of Lincoln School, an Officer designated by the United States Ambassador, an officer designated by USAID Director and a teacher selected by the school’s faculty, and a parent designated by the Parent Organization Executive Board, shall be ex-officio non-voting members of the Board, and shall not be counted in determining a quorum. The Director of Lincoln School, the officer who has responsibility for the administration of the U.S. Government grant to the School and teachers shall not be eligible for election to the Board.
b. The School Board shall be responsible for making policy decisions and for ensuring that the operation of Lincoln School is in accordance with these policies.
c. The School Board shall meet at least once a month at the call of the Chairperson.

DISSOLUTION OF THE ASSOCIATION
a. The Association and Lincoln School may be dissolved and its activities terminated only if approved by three-fourths (3/4) of all Association members, provided that notice in writing of such proposed dissolution shall have been given to the members by the Secretary when notifying them of the date of such meeting. Absentee voting is permitted in accordance with the By-Laws.
b. In the event of extreme emergency, the United States Ambassador may direct the dissolution of the Association and Lincoln School.
c. In the event of termination and dissolution, the assets shall be distributed as decreed by the governing body of the Association, provided that none of the assets of the Association shall be distributed to or made available in any way to any individual or corporation, except to a corporation or other organization itself organized and operated exclusively for charitable, educational or scientific purposes, no part of the net earnings of which inures to the benefit of any private shareholder or individual; no part of the activities of which is carrying on propaganda, or otherwise attempting to influence legislation; and which does not participate in, or interfere in (including the publication or distribution of statements) a political campaign on behalf of any candidate for public office.
ADOPTION OF THE CONSTITUTION
Upon its adoption this Constitution supersedes all previous Constitutions of the Lincoln School Association.
